Terms of Service

These Terms govern use of the Corvia web application at corviafleet.com and the Corvia Driver mobile app (together, the "Service"), operated by NovaCore Technologies LLC ("Corvia," "we," "us"). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of a motor carrier or other company, you represent that you have authority to bind that company, and "you" includes it.

Plain-language summary: Corvia is a recordkeeping and operations tool. It helps carriers organize compliance, dispatch, and maintenance. It does not make you compliant, it does not replace your responsibility under FMCSA regulations, and it does not act as your consortium, TPA, or legal advisor.

Everything a Carrier and its users enter into the Service ("Carrier Data") belongs to the Carrier. We claim no ownership of it. You grant us a limited license to store, process, and display Carrier Data solely to provide and support the Service. Our handling of personal information is described in the Privacy Policy.

The Carrier is responsible for the accuracy, legality, and completeness of Carrier Data, for having the right to enter it (including information about its drivers and employees), and for configuring user roles appropriately.

4. Acceptable use

You agree not to: use the Service for any unlawful purpose; upload malicious code; attempt to access other Carriers' data or bypass access controls; reverse-engineer or copy the Service; resell or sublicense it; or use it to harass or harm any person.

5. Fees

Paid plans are billed per truck per month or per year as described at the time of purchase. Fees are non-refundable except as required by law or as stated in a written pilot or subscription agreement. Pilot agreements may specify different terms, including founding pricing; where a signed agreement conflicts with these Terms, the agreement controls. We may change pricing for future terms with at least 30 days' notice.

6. Availability and support

We aim to keep the Service available and will make reasonable efforts to notify you of planned maintenance. The Service is provided "as available." Support is by email at support@corviafleet.com.

7. Intellectual property

The Service, including its software, design, and content (other than Carrier Data), is owned by NovaCore Technologies LLC and protected by intellectual-property laws. You receive a limited, non-exclusive, non-transferable license to use it under these Terms. Feedback you give us may be used without obligation to you.

8. Term and termination

You may stop using the Service at any time; Carrier administrators may close the Carrier account by emailing support. We may suspend or terminate access for material breach of these Terms, non-payment, or where required by law, with notice where practical. On termination, the Carrier may export its data for 30 days, after which we handle deletion as described in the Privacy Policy.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT USE OF THE SERVICE WILL RESULT IN REGULATORY COMPLIANCE, A PARTICULAR SAFETY RATING, OR ANY AUDIT OUTCOME.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NOVACORE TECHNOLOGIES LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, FINES, PENALTIES, OUT-OF-SERVICE ORDERS, OR REGULATORY ACTIONS, ARISING FROM OR RELATED TO THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE FEES YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, OR ONE HUNDRED DOLLARS IF YOU HAVE PAID NOTHING.

11. Indemnity

The Carrier will defend and indemnify NovaCore Technologies LLC against claims arising from Carrier Data, the Carrier's operations, or the Carrier's or its users' violation of these Terms or applicable law.

12. Governing law and disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Harris County, Texas, and you consent to their jurisdiction. Before filing, the parties will try in good faith to resolve the dispute by discussion for at least 30 days.

13. Changes

We may update these Terms. We will post the new version here with a revised date and notify Carrier administrators of material changes. Continued use after the effective date is acceptance.

These Terms and the Privacy Policy were prepared without a lawyer. Corvia intends to have them reviewed by counsel; until then, they reflect our honest commitments and how the Service actually works.
